  1. Simtronic Technologies Pty Ltd, trading as Iperium (“Iperium”), is a supplier of internet, data, connectivity and other telecommunications products and services.<\/li>
  2. The Customer wishes to order products and services from Iperium on the terms and conditions set out in this Agreement.<\/li>
  3. By signing a Proposal, Quotation, Order Form, or Service Schedule, or by instructing Iperium in writing to proceed, the Customer agrees to be bound by these Terms.<\/li>
  4. Additional terms specified in any Service Schedule or Order Form agreed between Iperium and the Customer from time to time are incorporated into, and form part of, this Agreement.<\/li><\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

Definitions and Interpretation\t\t\t\t\t\t\t<\/span>\n\n\t\t\t\t\t\t<\/div>\n\t\t\t\t\t\t
    \n\t\t\t\t\t\t\t

    1.1 In these Terms, unless the context otherwise requires:<\/p>

    Agreement means <\/strong>these Terms and Conditions together with any Proposal, Order Form, Service Schedule, and any document incorporated by reference.<\/p>

    AUP means <\/strong>the Acceptable Use Policy published by Iperium from time to time.<\/p>

    Business Day means <\/strong>a day that is not a Saturday, Sunday, or public holiday in New South Wales, Australia.<\/p>

    Charges means <\/strong>all fees, charges, and amounts payable by the Customer under the Agreement, including Monthly Recurring Charges, one-off charges, and usage-based charges.<\/p>

    Commencement Date means <\/strong>the date on which a Service is first made available or activated by Iperium.<\/p>

    Customer means <\/strong>the individual, company, or entity named in the Proposal or Order Form.<\/p>

    Customer Equipment means <\/strong>any hardware, software, cabling, or infrastructure owned or operated by the Customer at the Customer Premises.<\/p>

    Customer Premises means <\/strong>the physical site(s) at which the Services are delivered.<\/p>

    Early Termination Charge (ETC) means <\/strong>the charge payable by the Customer upon early termination of a Service during the Initial Period.<\/p>

    Force Majeure Event means <\/strong>any event beyond a party’s reasonable control, including natural disaster, act of God, war, terrorism, government action, pandemic, cyberattack, or failure of third-party infrastructure.<\/p>

    Initial Period means <\/strong>the minimum contract term specified in the Proposal, Quotation or Service Schedule.<\/p>

    Intellectual Property means <\/strong>all patents, copyright, trademarks, trade secrets, know-how, and other intellectual property rights.<\/p>

    Proposal \/ Quotation means <\/strong>the written quotation or proposal issued by Iperium to the Customer.<\/p>

    Service means <\/strong>the internet, data, connectivity, or other telecommunications services described in the Proposal or Service Schedule.<\/p>

    Service Schedule means <\/strong>a document specifying the details of a particular Service, including speed, bandwidth, SLA, and pricing.<\/p>

    SLA means <\/strong>the Service Level Agreement specifying uptime targets, fault response times, and remedies.<\/p>

    Term means <\/strong>the Initial Period and any subsequent renewal period.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

    \n\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t<\/i>\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t<\/i>\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t2. Proposal or Quotation Validity and Agreement Formation\t\t\t\t\t\t\t<\/span>\n\n\t\t\t\t\t\t<\/div>\n\t\t\t\t\t\t
    \n\t\t\t\t\t\t\t

    2.1 A Proposal or Quotation issued by Iperium is valid for 21 days from its date, unless otherwise stated or withdrawn earlier by Iperium.<\/p>

    2.2 The Agreement is formed when the Customer signs and returns the Proposal, Quotation or Order Form, or instructs Iperium in writing to proceed, whichever occurs first.<\/p>

    2.3 Prices in a Proposal are based on Iperium’s understanding of the Customer’s requirements at the time of issue. Acceptance is subject to completion of any required technical appraisal, network and product availability at the Customer Premises, and any additional costs identified following site survey or technical assessment.<\/p>

    2.4 Iperium makes no representation or warranty as to the accuracy or completeness of information in a Proposal or Quotation. The Customer must independently assess suitability.<\/p>

    2.5 These Terms supersede any prior agreements, representations, or understandings between the parties relating to their subject matter.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

    \n\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t<\/i>\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t<\/i>\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t3. Provision of Services\t\t\t\t\t\t\t<\/span>\n\n\t\t\t\t\t\t<\/div>\n\t\t\t\t\t\t
    \n\t\t\t\t\t\t\t

    3.1 Iperium will provide the Services with reasonable skill and care and in accordance with the applicable Service Schedule and SLA.<\/p>

    3.2 Iperium may, in its reasonable discretion, modify or substitute network elements, equipment, or routing to maintain or improve service quality; perform scheduled maintenance (with reasonable prior notice); and temporarily suspend a Service to carry out emergency maintenance without prior notice.<\/p>

    3.3 Iperium does not guarantee uninterrupted or error-free delivery of any Service. Service availability is subject to the SLA targets set out in the relevant Service Schedule.<\/p>

    3.4 The Customer acknowledges that some Services depend on third-party network infrastructure (including Telstra, NBN Co, or other wholesale carriers), and Iperium is not responsible for faults or outages caused by such third parties beyond its reasonable control.<\/p>

    3.5 A technical appraisal may be required prior to service delivery. If additional design, construction, or installation work is required, further charges may apply and will be communicated to the Customer before commencement.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

    \n\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t<\/i>\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t<\/i>\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t4. Service Levels\t\t\t\t\t\t\t<\/span>\n\n\t\t\t\t\t\t<\/div>\n\t\t\t\t\t\t
    \n\t\t\t\t\t\t\t

    4.1 Iperium will use commercially reasonable efforts to achieve the uptime targets and fault response times set out in the applicable Service Schedule.<\/p>

    4.2 Where no specific SLA is stated, Iperium targets 99.5% monthly availability (excluding scheduled maintenance and Force Majeure Events).<\/p>

    4.3 In the event of a Service fault, the Customer must log a fault by contacting Iperium via the support portal, email, or telephone; provide reasonable assistance to diagnose the fault; and ensure appropriate site access for Iperium or its contractors.<\/p>

    4.4 Iperium will not be liable for SLA credits where outages are caused by Customer Equipment or actions by the Customer or third parties engaged by the Customer; circumstances outside Iperium’s reasonable control; or scheduled maintenance notified in advance.<\/p>

    4.5 SLA credits, where applicable, are the Customer’s sole remedy for service outages and do not affect Iperium’s broader liability cap under clause 14.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

    \n\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t<\/i>\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t<\/i>\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t5. Customer Obligations\t\t\t\t\t\t\t<\/span>\n\n\t\t\t\t\t\t<\/div>\n\t\t\t\t\t\t
    \n\t\t\t\t\t\t\t

    5.1 The Customer must: provide Iperium with accurate, complete, and up-to-date contact and billing information; provide safe and timely access to the Customer Premises for installation, maintenance, and decommissioning; maintain Customer Equipment in good working order and ensure compatibility with the Services; comply with the AUP and all applicable laws, including the Telecommunications Act 1997 (Cth) and the Spam Act 2003 (Cth); not resell, sublicense, or share the Services with third parties without Iperium’s prior written consent; and promptly notify Iperium of any change in contact details, business circumstances, or change of control.<\/p>

    5.2 The Customer is solely responsible for the content transmitted over the Services and for all activity occurring under its account, including that of its end users.<\/p>

    5.3 The Customer acknowledges responsibility for all Customer Equipment and cabling at the Customer Premises. Cross-connects to customer racks at data centres are the responsibility of the Customer unless otherwise expressly agreed in writing.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

    \n\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t<\/i>\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t<\/i>\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t6. Acceptable Use Policy\t\t\t\t\t\t\t<\/span>\n\n\t\t\t\t\t\t<\/div>\n\t\t\t\t\t\t
    \n\t\t\t\t\t\t\t

    6.1 The Customer must comply with the AUP at all times. The AUP prohibits, without limitation: use of the Services for any unlawful purpose; transmission of spam, phishing, malware, or other harmful content; conduct that violates the privacy or intellectual property rights of others; network scanning, probing, or any activity that degrades service to other users; and use that breaches Australian Communications and Media Authority (ACMA) guidelines.<\/p>

    6.2 Iperium may immediately suspend Services (without liability) if it reasonably suspects a breach of the AUP, pending investigation.<\/p>

    6.3 The AUP may be updated from time to time. Iperium will provide reasonable notice of material changes. Continued use of the Services constitutes acceptance of the updated AUP.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

    \n\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t<\/i>\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t<\/i>\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t7. Data and Fair Use\t\t\t\t\t\t\t<\/span>\n\n\t\t\t\t\t\t<\/div>\n\t\t\t\t\t\t
    \n\t\t\t\t\t\t\t

    7.1 Where a Service is described as “unlimited” or “unmetered”, it remains subject to Iperium’s fair use policy. Fair use limits, if applicable, are set out in the relevant Service Schedule.<\/p>

    7.2 Iperium may, during periods of network congestion, apply traffic management measures consistent with its network management policy, including traffic shaping or prioritisation. This will not constitute a breach of the Agreement.<\/p>

    7.3 Where data caps apply, usage in excess of the included data allowance will be charged at the rates specified in the Service Schedule, or the Customer’s data will be shaped to a reduced speed (as applicable).<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

    \n\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t<\/i>\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t<\/i>\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t8. Charges and Payment\t\t\t\t\t\t\t<\/span>\n\n\t\t\t\t\t\t<\/div>\n\t\t\t\t\t\t
    \n\t\t\t\t\t\t\t

    8.1 The Customer agrees to pay all Charges specified in the Proposal or Service Schedule.<\/p>

    8.2 Unless otherwise stated: Monthly Recurring Charges (MRC) are invoiced monthly in advance; one-off charges (including installation, connection, and equipment costs) are invoiced upon agreement or delivery; and usage-based charges are invoiced monthly in arrears.<\/p>

    8.3 Invoices are payable within 14 days of the invoice date unless a different payment term is agreed in writing. Payments must be made by direct debit, EFT, or credit card as nominated by Iperium.<\/p>

    8.4 If an invoice is not paid by the due date, Iperium may charge interest on the overdue amount at a rate of 2% per month, compounding monthly; charge a late payment fee; suspend the Services with 3 Business Days’ notice; and\/or terminate the Agreement in accordance with clause 11.<\/p>

    8.5 The Customer may not withhold or offset payment for any disputed amount without Iperium’s written consent. Disputed invoices must be raised in writing within 14 days of receipt, failing which the invoice is deemed accepted.<\/p>

    8.6 Iperium reserves the right to vary Charges with 30 days’ written notice to the Customer. Where the Customer does not accept a price variation, it may terminate the affected Service without incurring an Early Termination Charge, provided written notice of termination is received within 20 days of the notice of variation.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

    \n\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t<\/i>\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t<\/i>\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t9. Taxation\t\t\t\t\t\t\t<\/span>\n\n\t\t\t\t\t\t<\/div>\n\t\t\t\t\t\t
    \n\t\t\t\t\t\t\t

    9.1 Unless expressly stated otherwise, all Charges in the Proposal are exclusive of GST and any other applicable taxes, duties, levies, or government charges.<\/p>

    9.2 Where GST is applicable, it will be added to the Charges at the prevailing rate and shown separately on the invoice.<\/p>

    9.3 The Customer is responsible for all withholding taxes, stamp duties, customs duties, or similar taxes imposed on it in connection with the Agreement.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

    \n\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t<\/i>\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t<\/i>\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t10. Contract Term and Renewal\t\t\t\t\t\t\t<\/span>\n\n\t\t\t\t\t\t<\/div>\n\t\t\t\t\t\t
    \n\t\t\t\t\t\t\t

    10.1 Iperium will provide the Services for the Initial Period specified in the Proposal or Service Schedule, commencing on the Commencement Date.<\/p>

    10.2 Upon expiry of the Initial Period, the Service will automatically renew on a rolling month-to-month basis at the then-current rates unless the Customer provides 30 days’ prior written notice of its intention not to renew, or either party terminates the Agreement in accordance with clause 11.<\/p>

    10.3 Renewal notice must be provided in writing by email to accounts@simtronic.com.au or through the Iperium Online Portal.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

    \n\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t<\/i>\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t<\/i>\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t11.     \n\t\t\t\t\t\t\t

    11.1 Termination for Convenience. <\/strong>The Customer may terminate a Service at any time during a renewal period by providing 30 days’ written notice to Iperium. Termination during the Initial Period will incur an Early Termination Charge under clause 12.<\/p>

    11.2 Termination for Cause. <\/strong>Either party may terminate the Agreement immediately by written notice if the other party commits a material breach that is not remedied within 14 days of written notice requiring remedy; becomes insolvent, is placed into administration, receivership, or liquidation, or makes an assignment for the benefit of creditors; or ceases or threatens to cease carrying on business.<\/p>

    11.3 Termination by Iperium. <\/strong>Iperium may terminate a Service with 30 days’ notice where the underlying wholesale service or network infrastructure is withdrawn or becomes unavailable, or the Customer is in persistent or repeated breach of the AUP.<\/p>

    11.4 Effect of Termination. <\/strong>Upon termination of any Service, the Customer must pay all outstanding Charges, including any applicable ETCs, to the date of termination, and return or decommission any Iperium-owned equipment at the Customer Premises. Termination of one Service does not affect other Services under separate Service Schedules unless the Agreement as a whole is terminated.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

    12.1 If a Service is terminated by the Customer (or by Iperium due to Customer default) during the Initial Period, the Customer will be liable to pay an Early Termination Charge.<\/p>

    12.2 Unless stated otherwise in the Service Schedule, the Early Termination Charge is calculated as: <\/strong>ETC = Monthly Recurring Charge \u00d7 Number of Months Remaining in the Initial Period.<\/p>

    12.3 The Early Termination Charge represents a genuine pre-estimate of Iperium’s loss arising from early termination and is not a penalty.<\/p>

    12.4 No Early Termination Charge applies where termination is due to Iperium’s uncured material breach, or where Iperium provides notice of a Charges variation and the Customer exercises its right to exit under clause 8.6.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

    13.1 Iperium may suspend a Service without liability (other than to apply any applicable SLA credits) where: the Customer fails to pay any undisputed amount by the due date and has not remedied the default within 3 Business Days of notice; the Customer breaches the AUP and fails to remedy the breach within 24 hours of notice; Iperium is required to do so by law or a regulatory authority; emergency maintenance is required; or Iperium reasonably suspects fraudulent or unlawful use of the Services.<\/p>

    13.2 During suspension, the Customer remains liable for all Monthly Recurring Charges. Iperium will restore the Service promptly once the grounds for suspension are resolved.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

    14.1 Limitation of Liability. <\/strong>To the maximum extent permitted by law, Iperium’s total liability to the Customer under or in connection with the Agreement (whether in contract, tort, statute, or otherwise) is limited to the greater of the total Charges paid by the Customer in the 3 months immediately preceding the event giving rise to the claim, or $10,000 AUD.<\/p>

    14.2 Exclusion of Consequential Loss. <\/strong>To the maximum extent permitted by law, Iperium is not liable for loss of revenue, profit, or anticipated savings; loss of business, contracts, or goodwill; loss or corruption of data; business interruption; or any indirect, special, incidental, or consequential loss or damage of any kind, even if Iperium has been advised of the possibility of such loss.<\/p>

    14.3 Consumer Guarantees. <\/strong>Nothing in this Agreement excludes, restricts, or modifies any right, remedy, guarantee, warranty, or other term implied or imposed by the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)) that cannot lawfully be excluded or limited. To the extent permitted by the Australian Consumer Law, Iperium’s liability for breach of any implied guarantee is limited to re-supplying the Service or paying the cost of having the Service re-supplied.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

    15.1 Iperium and its licensors retain all Intellectual Property rights in and to the Services, the network, all software, documentation, proposals, quotations and any works created in the provision of the Services.<\/p>

    15.2 The Customer is granted a non-exclusive, non-transferable licence to use the Services solely for its internal business purposes during the Term.<\/p>

    15.3 The Customer must not reverse-engineer, copy, modify, or create derivative works from any Iperium software or systems.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

    16.1 Iperium collects and handles personal information in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles.<\/p>

    16.2 Iperium may collect personal information about the Customer and its personnel for the purposes of providing and administering the Services; billing and credit management; communicating about the Services; and complying with legal and regulatory obligations, including lawful interception obligations under the Telecommunications (Interception and Access) Act 1979 (Cth).<\/p>

    16.3 Iperium will not sell personal information to third parties. Personal information may be shared with related entities, subcontractors, and wholesale service providers as necessary to deliver the Services.<\/p>

    16.4 Iperium’s Privacy Policy sets out in detail how personal information is collected, used, disclosed, and how the Customer can access or correct its information.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

    17.1 Each party agrees to keep confidential all information disclosed by the other party that is identified as confidential or that a reasonable person would understand to be confidential, including pricing, network architecture, business strategies, and customer data.<\/p>

    17.2 Confidential information must not be disclosed to any third party without the disclosing party’s prior written consent, except as required by law, a court order, or a regulatory authority, or to professional advisors bound by professional obligations of confidentiality.<\/p>

    17.3 This obligation survives termination of the Agreement for a period of 3 years.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

    18.1 Iperium will implement commercially reasonable technical and organisational measures to protect the confidentiality, integrity, and availability of Customer data traversing the network.<\/p>

    18.2 The Customer acknowledges that no telecommunications network is entirely secure and accepts the inherent risks associated with internet-based communications.<\/p>

    18.3 Iperium will retain network logs and traffic data as required by applicable law, including under the Telecommunications (Interception and Access) Act 1979 (Cth). Metadata may be retained for the periods prescribed by law and may be disclosed to authorised agencies upon lawful request.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

    19.1 Unless expressly included, the Charges in the Proposal do not cover: special construction or linkage charges required for service delivery at specific locations; any whole-of-business discounts, rebates, or incentives applicable under separate arrangements with wholesale carriers; Customer Equipment, internal cabling, patch leads, or any equipment at the Customer Premises; third-party software licences or application subscriptions; or any works beyond the scope described in the Proposal.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

    20.1 For services delivered to data centres, cross-connects between Iperium’s network infrastructure and the Customer’s rack are the responsibility of the Customer, unless expressly agreed otherwise in the Proposal or Service Schedule.<\/p>

    20.2 The Customer is responsible for liaising with the relevant data centre operator and meeting any applicable data centre requirements.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

    21.1 Neither party is liable for any failure or delay in performing its obligations under the Agreement (other than an obligation to pay money) to the extent caused by a Force Majeure Event.<\/p>

    21.2 The affected party must notify the other party as soon as reasonably practicable; take all reasonable steps to minimise the impact; and resume performance as soon as the Force Majeure Event ceases.<\/p>

    21.3 If a Force Majeure Event prevents Iperium from providing a Service for more than 60 consecutive days, either party may terminate that Service on written notice without liability (including ETCs).<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

    22.1 If a dispute arises in connection with the Agreement, the parties must first attempt to resolve it through good faith negotiation within 20 Business Days of one party notifying the other of the dispute in writing.<\/p>

    22.2 If the dispute is not resolved through negotiation, either party may refer the matter to mediation administered by the Australian Disputes Centre (or such other mediator agreed between the parties), with costs shared equally.<\/p>

    22.3 Nothing in this clause prevents either party from seeking urgent injunctive or declaratory relief from a court of competent jurisdiction.<\/p>

    23.1 Iperium is committed to resolving Customer complaints promptly and fairly in accordance with the Telecommunications Consumer Protections (TCP) Code.<\/p>

    23.2 Customers may lodge complaints by email at support@simtronic.com.au; by phone on 1300 592 330; via the Iperium Online Portal at portal.iperium.com.au; or in writing to 206\/198 Harbour Esplanade, Docklands VIC 3008.<\/p>

    23.3 Iperium will acknowledge a complaint within 2 Business Days and provide a substantive response within 15 Business Days.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

    24.1 Notices under this Agreement must be in writing and delivered by email (with delivery confirmation) or registered post to the address of the other party.<\/p>

    24.2 A notice sent by email is deemed received on the next Business Day after sending (unless a delivery failure notification is received). A notice sent by registered post is deemed received 3 Business Days after posting.<\/p>

    25.1 Governing Law. <\/strong>This Agreement is governed by the laws of New South Wales, Australia. Each party submits to the non-exclusive jurisdiction of the courts of New South Wales.<\/p>

    25.2 Entire Agreement. <\/strong>This Agreement constitutes the entire agreement between the parties in relation to its subject matter and supersedes all prior discussions, representations, and agreements.<\/p>

    25.3 Amendments. <\/strong>Iperium may update these Terms by providing 30 days’ written notice. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.<\/p>

    25.4 Severability. <\/strong>If any provision of this Agreement is held to be invalid, illegal, or unenforceable, that provision will be severed and the remainder of the Agreement will continue in full force and effect.<\/p>

    25.5 Waiver. <\/strong>A party’s failure or delay in exercising any right under this Agreement does not constitute a waiver of that right.<\/p>

    25.6 Assignment. <\/strong>The Customer may not assign or transfer any right or obligation under this Agreement without Iperium’s prior written consent. Iperium may assign this Agreement to any related entity or successor in connection with a corporate restructure or sale of business.<\/p>

    25.7 Relationship of Parties. <\/strong>The parties are independent contractors. Nothing in this Agreement creates a partnership, joint venture, agency, or employment relationship.<\/p>

    25.8 Counterparts. <\/strong>This Agreement may be executed in counterparts (including electronic signatures), each of which constitutes an original and together form one document. Service Schedules and Service Orders\t\t\t\t\t\t\t<\/span>\n\n\t\t\t\t\t\t<\/div>\n\t\t\t\t\t\t
    \n\t\t\t\t\t\t\t

    1.1. Upon request, Iperium will provide the Customer with Service Schedules and Service Orders setting out the specific terms and conditions that shall apply to the products or services the Customer wishes to acquire from Iperium. Those terms and conditions shall be binding on the parties in addition to the terms and conditions specified in clauses 1-31 herein, which shall also be binding. The provision of such Service Schedules and Service Orders to the customer pursuant to this subclause 1.1 shall constitute an invitation for the customer to apply for the provision of Products and Services from Iperium.<\/p>

    1.2. If the Customer wishes to request the delivery of any Products or Services from Iperium, it must execute and return to Iperium the Service Schedules and Service Orders.<\/p>

    1.3. Each Service Schedule and Service Order executed by both Parties in writing constitutes a separate contract between Iperium and the Customer.<\/p>

    1.4. If a term of an agreed Service Schedule or Service Order would otherwise expire after the term, the Term shall be extended automatically to coincide with the expiry of the term specified in that agreed Service Schedule or Service Order.<\/p>

    1.5. Where any conflict occurs between a Service Schedule or Service Order and any other part of this Agreement, the conflicting provisions shall, where possible, be read down to resolve such conflict. If the conflict remains incapable of resolution by reading down, the conflicting provisions shall be severed from the Service Schedule or the Service Order (as the case may be) without otherwise diminishing the enforceability of the remaining provisions of this Agreement.<\/p>

    1.6. Iperium may at its discretion conduct any credit worthiness check regarding the Customer prior to issuing any Service Schedule or Service Order to the Customer and the Customer hereby authorises Iperium to make all enquiries reasonably necessary to determine the Customer\u2019s credit worthiness including, by conducting requests for information from banks, credit agencies and other financial institutions.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

    \n\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t<\/i>\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t<\/i>\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t2. Supply of Products and Services\t\t\t\t\t\t\t<\/span>\n\n\t\t\t\t\t\t<\/div>\n\t\t\t\t\t\t
    \n\t\t\t\t\t\t\t

    2.1. The delivery of the Services will be subject to the service levels specified in the relevant Service Schedules. Subject to clause 11, the Customer\u2019s sole remedy for breach of the service levels shall be the service level rebates specified in the Service Schedules.<\/p>

    2.2. The Customer agrees and acknowledges that Iperium may change or replace the Products or Services at any time in its absolute discretion, provided that such change or replacement does not materially adversely affect the Products or Services or adversely financially impact the customer.<\/p>

    2.3. The Customer agrees and acknowledges that it will report any faults in the Products or Services to Iperium immediately upon such faults becoming known to the Customer. Iperium will deal with all reported faults urgently and use its best endeavours to remedy those faults or cause them to be remedied.<\/p>

    2.4. Upon delivery of the Products or Services to the Customer, the Customer shall take full responsibility for the use of those Products or Services. So that Iperium can allocate sufficient Products and Services to the Customer, Iperium may request that the Customer provide Iperium with its estimated capacity requirements. The Customer acknowledges that any notification of its capacity requirements provided to Iperium less than 90 days in advance may prevent Iperium from securing sufficient capacity on its networks for the Customer. Iperium reserves the right to issue new Service Schedules if the Customer changes its capacity requirements.<\/p>

    2.5. The Customer agrees and acknowledges that if Iperium acquires products or services from a carrier (as defined under the Telecommunications Act 1997 (Cth), the Customer will comply with all reasonable directions of Iperium as is necessary for Iperium to comply with its obligations under any agreement with that carrier.<\/p>

    2.6. Iperium may publish or refer to the Customer as a customer of Iperium in any Iperium press release, marketing, sales or financial material or reports.<\/p>

    2.7. The Customer acknowledges that the intellectual property rights in the Products and Services remain at all times owned by Iperium or its licensors.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

    \n\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t<\/i>\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t<\/i>\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t3.     3.1. Iperium will require no security bond from the Customer, other than the warranties outlined in the credit application form.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

    \n\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t<\/i>\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t<\/i>\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t4. Payment and Payment Terms\t\t\t\t\t\t\t<\/span>\n\n\t\t\t\t\t\t<\/div>\n\t\t\t\t\t\t
    \n\t\t\t\t\t\t\t

    4.1. The Charges will apply on and from the dates for commencement of the delivery of the Products or Services specified in the Service Orders and it is the Customer\u2019s responsibility to ensure it is fully ready to accept delivery of the Products and Services on those dates.<\/p>

    4.2. The Customer agrees to pay the Charges at the rate and in the manner specified in the Service Orders.<\/p>

    4.3. All fixed-price Products and Services including line rental, flat rate transit and DSL tails must be paid for in advance. All usage-based Products including volume-based transit, Voice calls and DSL excess usage and Services must be paid for in arrears.<\/p>

    4.4. All Charges must be paid within 7 days of Iperium issuing an invoice to the Customer. The Customer is not entitled to offset any amounts payable by it, whether under any other agreement, counterclaim or otherwise.<\/p>

    4.5. If the Customer disputes the whole or any portion of the amount claimed in an invoice submitted by Iperium, the Customer shall pay the undisputed amount claimed and shall notify Iperium in writing (within 7 days of receipt of the invoice) of the reasons for disputing the invoice. If the parties cannot come to an agreement in relation to the disputed amounts within 14 days of notification in writing by the Customer to Iperium of the disputed amounts in accordance with this subclause, the parties shall attempt to resolve the dispute via the dispute resolution procedure set out in clause 19 herein.<\/p>

    4.6. The Charges are exclusive of taxes, duties and charges imposed or levied in Australia or overseas in connection with the supply of the Products and Services. Without limiting the foregoing, the Customer shall be liable for any new taxes, duties or charges imposed subsequent to the date of this Agreement in respect of the Products and Services.<\/p>

    4.7. Words defined in the GST Law have the same meaning in this clause, unless the context makes it clear that a different meaning is intended.<\/p>

    4.8. In addition to paying the Charges and any other amount payable under or in connection with this Agreement (which is exclusive of GST), the Customer will:<\/p>

    4.8.1. pay to Iperium an amount equal to any GST payable for any supply by Iperium in respect of which the Charges or other amount is payable under this agreement; and<\/p>

    4.8.2. make such payment on the date when the Charges or other amounts to which it relates is due.<\/p><\/div>

    4.9. Without limitation to any other rights or remedies of Iperium, if the Customer fails to pay any amount payable by it under this Agreement, Iperium shall be entitled, but not obliged, to:<\/p>

    4.9.1. suspend the provision of the Services upon giving the Customer 5 days written notice and charge a reconnection fee equal to 1 months\u2019 Charges if the Customer pays the outstanding Charges,(provided such reconnection shall not limit Iperium\u2019 rights to terminate this Agreement for any subsequent nonpayment); or<\/p>

    4.9.2. terminate this Agreement in accordance with clause 11; and\/or<\/p>

    4.9.3. charge the Customer interest on the overdue amount, payable by the Customer forthwith on demand, from 21 days after the due date up to the date of actual payment, after as well as before judgment, at the rate of 5% per annum; and\/or<\/p>

    4.9.4. refer the customer to a debt collection agency & list the customer with a credit reference agency. This would incur an additional delinquency fee of $220 to the customer\u2019s account.<\/p><\/div>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

    \n\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t<\/i>\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t<\/i>\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t5.     5.1. The Customer shall provide Iperium and its suppliers, contractors, agents and employees with full, safe and uninterrupted access to the Customer\u2019s premises (including via remote access) as may reasonably be required for the purpose of installing and maintaining the Products and Services. The premises must be safe and comply with all occupational health and safety laws.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

    \n\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t<\/i>\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t<\/i>\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t6. End Users\t\t\t\t\t\t\t<\/span>\n\n\t\t\t\t\t\t<\/div>\n\t\t\t\t\t\t
    \n\t\t\t\t\t\t\t

    6.1. The customers of the Customer (\u201cEnd Users\u201d) are the sole liability of the Customer and the Customer hereby agrees and acknowledges that any misuse of the Products or Services conducted by the Customer or any End Users, and any billing, disputes and support matters relating to the End Users shall be the sole responsibility of the Customer. The Customer also agrees to indemnify Iperium in relation to any claims, threats or action (made by the customer or an end user), including without limitation for breach of copyright or the transmission of illegal or offensive or obscene, threatening or abusive data or for loss or damages claimed in any court or tribunal or other judicial body as a result of the negligent, fraudulent, criminal, illegal or other wrongful usage by the Customer or End Users of the Products or Services, or any negligence of the Customer or End Users.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

    7.1. Iperium and any contractors or sub-contractors working on behalf of Iperium will take out and maintain all insurance policies relevant to it\u2019s business.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

    8.1. The existence and content of this Agreement is confidential, subject to clause 2.7.<\/p>

    8.2. This clause will survive the termination of this Agreement.<\/p>

    8.3. A Party will not, without the prior written approval of the other Party, disclose the other Party\u2019s Confidential Information.<\/p>

    8.4. A Party will not be in breach of subclause 8.3 in circumstances where it is legally compelled to disclose the other Party\u2019s Confidential Information.<\/p>

    8.5. Each Party will take all reasonable steps to ensure that its employees and agents, and any sub-contractors engaged for the purposes of this Agreement, do not make public or disclose the other Party\u2019s Confidential Information.<\/p>

    8.6. Notwithstanding any other provision of this clause, a Party may disclose the terms of this Agreement (other than Confidential Information of a technical nature) to its lawyers on condition that its lawyers maintain the confidentiality as specified herein.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

    \n\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t<\/i>\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t<\/i>\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t10. Liability and Indemnity\t\t\t\t\t\t\t<\/span>\n\n\t\t\t\t\t\t<\/div>\n\t\t\t\t\t\t
    \n\t\t\t\t\t\t\t

    10.1. Iperium will not be liable to the Customer in respect of any or any direct, indirect, special or consequential losses (including but not limited to loss of profits or loss of revenue) however caused, and regardless of whether the Customer has been advised of the possibility of such loss, where such loss arises as a result of the breach of this Agreement other than as a result of any negligence or a statutory liability arising in connection with the supply of Products or performance of Services under this Agreement.<\/p>

    10.2. Except in relation to liability for personal injury (including sickness and death), and subject to subclause 1, Iperium will not be liable to the Customer in respect of any loss or damage which may be suffered or incurred or which may arise directly or indirectly in respect of the use or effect of Products or Services supplied pursuant to this Agreement or in respect of a failure or omission on the part of Iperium to comply with its obligations under this Agreement.<\/p>

    10.3. The Customer releases and indemnifies Iperium, its servants and agents against all actions, claims and demands (including the cost of defending or settling any action, claim or demand) which may be instituted against Iperium arising out of a breach of this Agreement by the Customer or the fraud or negligence of the Customer, its agents, employees or subcontractors or of any other person for whose acts or omissions the Customer is vicariously liable.<\/p>

    10.4. The Customer releases and indemnifies Iperium against any action, claim or demand by the Customer\u2019s End Users, servants, employees or agents or their personal representatives or dependants arising out of the performance of this Agreement other than as a result of any negligence or a statutory liability arising in connection with the supply of Products or performance of Services under this Agreement.<\/p>

    10.5. The Customer shall at all times indemnify and hold harmless Iperium and its officers, employees and agents (\u201cthose indemnified\u201d) from and against any loss (including reasonable legal costs and expenses) or liability reasonably incurred or suffered by any of those indemnified arising from any proceedings against those indemnified where such loss or liability was caused by:<\/p>

    10.5.1. a breach by the Customer of its obligations under this Agreement; or<\/p>

    10.5.2. any wilful, unlawful or negligent act or omission of the Customer.<\/p><\/div>

    10.6. Where any liability of Iperium is not otherwise limited under this Agreement, the aggregate liability of Iperium shall be limited to the total Charges paid by the Customer in the last month preceding the accrual of the relevant liability, and if liability has accrued on more than one occasion, the month preceding the most recent accrual of liability.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

    \n\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t<\/i>\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t<\/i>\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t11. Termination and Expiry\t\t\t\t\t\t\t<\/span>\n\n\t\t\t\t\t\t<\/div>\n\t\t\t\t\t\t
    \n\t\t\t\t\t\t\t

    11.1. Upon expiry of this Agreement, it shall automatically renew (and all current Service Orders and Service Schedules shall be renewed) for successive periods of 30 days until either Party gives 14 days notice that it wishes to terminate this Agreement.<\/p>

    11.2. The Customer may terminate this Agreement during the Term if Iperium is in material breach of its obligations herein or is unable to provide the Services due to a Force Majeure Event, for a period of more than 15 days.<\/p>

    11.3. Without limiting the generality of any other clause in this Agreement, Iperium may terminate this Agreement immediately by notice during the Term if:<\/p>

    11.3.1. (a) the Customer is in breach of any term of this Agreement and such breach is not remedied within 30 days of the Customer being notified of the breach;<\/p>

    11.3.2. (b) the Customer or its End Users remain in breach of the acceptable use policies or other policies of Iperium provided by Iperium from time to time after 5 days notification of such breach (provided that any such breach that is deemed to be illegal activity or likely in the reasonable opinion of Iperium to cause injury to any other person will not be subject to 5 days notification);<\/p>

    11.3.3. (c) the Customer suffers or threatens to suffer an Insolvency Event.<\/p>

    11.3.4. (d) the Customer, being a partnership, dissolves, threatens or resolves to dissolve or is in jeopardy of dissolving;<\/p>

    11.3.5. (e) the Customer, being a natural person, dies;<\/p>

    11.3.6. (f) the Customer or its End Users fails to obtain or renew or are in breach (as the case may be) of any law, regulation, licence, permit or directive of any competent authority relevant to its use of the Products and\/or Services;<\/p>

    11.3.7. (g) the Customer ceases or threatens to cease conducting business;<\/p>

    11.3.8. (h) if a supplier of Services or Products to Iperium suspends, cancels, terminates or does not renew its supply of Products or Services to Iperium (through no fault of Iperium), and as a result, impairs or prevents Iperium from delivering the Products or Services;<\/p>

    11.3.9. (i) a Force Majeure Event occurs for more than 30 days.<\/p><\/div>

    11.4. If notice is given to the Customer pursuant to subclause 3, Iperium may, in addition to terminating the Agreement:<\/p>

    11.4.1. (a)retain all or a portion of the security bond to cover any unpaid debt;<\/p>

    11.4.2. (b) charge a reasonable sum for work performed in respect of which work no sum has been previously charged;<\/p>

    11.4.3. (c) be regarded as discharged from any further obligations under this Agreement;<\/p>

    11.4.4. (d) be entitled to payment of all and any monies owing by the Customer to Iperium under this Agreement within 7 days;<\/p>

    11.4.5. (e) be entitled to the return of any Products or Services or Confidential Information or materials of Iperium in the possession of the Customer or any customer or End User of the Customer within 7 days;<\/p>

    11.4.6. (f) repossess and\/or resell any Products in respect of which the Customer has not paid Iperium in full (and gain access to the Customer\u2019s premises for this purpose); and<\/p>

    11.4.7. (g) pursue any additional or alternative remedies provided by law or equity.<\/p><\/div>

    11.5. In addition to the remedies specified in subclause 4, and without limitation to any other rights and remedies of Iperium, if:<\/p>

    11.5.1. this Agreement is terminated during the Term by the Customer (other than in accordance with subclause 2); or<\/p>

    11.5.2. (b) this Agreement is terminated by Iperium as a result of the matters specified in subclause 3(a) -(f), Iperium may charge a cancellation fee calculated by multiplying the number of months remaining in the Term by the average fixed Charges. The Parties agree that this is not a penalty but an accurate estimate of the loss and damage that Iperium will suffer as a result of early termination of this Agreement for which the Customer will be liable.<\/p><\/div>

    11.6. The Customer acknowledges that Iperium shall obtain capacity to provide the Products and Services based on the agreed Service Orders, which may include obtaining capacity from third parties. The Customer further acknowledges that Iperium will suffer loss and damage which it will hold the Customer accountable for and which the Customer will be liable for if the Customer wishes to vary or cancel the capacity specified in the Service Order during the Term.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

    \n\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t<\/i>\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t<\/i>\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t12. Implied Terms\t\t\t\t\t\t\t<\/span>\n\n\t\t\t\t\t\t<\/div>\n\t\t\t\t\t\t
    \n\t\t\t\t\t\t\t

    12.1. Subject to subclause 2, any condition or warranty which would otherwise be implied in this Agreement is hereby excluded.<\/p>

    12.2. W here legislation implies in this Agreement any condition or warranty, and that legislation avoids or prohibits provisions in a contract excluding or modifying the application of or exercise of or liability under such condition or warranty, the condition or warranty shall be deemed to be included in this Agreement. However, the liability of Iperium for any breach of such condition or warranty shall be limited, at the option of Iperium, to one or more of the following:<\/p>

    12.2.1. if the breach relates to goods:<\/div>

    12.2.1.1. the replacement of the goods or the supply of equivalent goods; (ii) the repair of such goods;<\/p>

    12.2.1.2. the payment of the cost of replacing the goods or of acquiring equivalent goods; or<\/p>

    12.2.1.3. the payment of the cost of having the Products repaired; and<\/p><\/div>

    12.2.2. if the breach relates to services:<\/div>
    12.2.2.1. the supplying of the services again; or<\/div>

    12.3. The Customer acknowledges that to the extent Iperium has made any representation which is not otherwise expressly stated in this Agreement, the Customer has been provided with an opportunity to independently verify the accuracy of that representation.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

    \n\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t<\/i>\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t<\/i>\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t13. GST and Claims\t\t\t\t\t\t\t<\/span>\n\n\t\t\t\t\t\t<\/div>\n\t\t\t\t\t\t
    \n\t\t\t\t\t\t\t

    13.1. If a payment to satisfy a claim or a right to claim under or in connection with this Agreement (for example, for misleading or deceptive conduct or for misrepresentation or for a breach of any warranty or for an indemnity or for reimbursement of any expense) gives rise to a liability to pay GST, the payer must also pay, and indemnify the payee against, the amount of that GST.<\/p>

    13.2. If a Party has a claim under or in connection with this Agreement for a cost on which that Party must pay GST, the claim is for the cost plus all GST.<\/p>

    13.3. If a Party has a claim under or in connection with this Agreement and the amount of the claim depends on actual or estimated revenue or lost revenue, revenue must be calculated without including any amount received or receivable as reimbursement for GST (whether that amount is separate or included as part of a larger amount).<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

    \n\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t<\/i>\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t<\/i>\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t14. Force Majeure\t\t\t\t\t\t\t<\/span>\n\n\t\t\t\t\t\t<\/div>\n\t\t\t\t\t\t
    \n\t\t\t\t\t\t\t

    14.1. Iperium will not be liable for any delay or failure to perform its obligations pursuant to this Agreement if such delay is due to a Force Majeure Event.<\/p>

    14.2. If a delay or failure of Iperium to perform its obligations is caused to a Force Majeure Event, the performance of Iperium\u2019 obligations will be suspended.<\/p>

    14.3. If a delay or failure by either party to perform its obligations due to a Force Majeure Event exceeds thirty (30) Days, either party may immediately terminate the Agreement on providing notice in writing to the other Party without liability and the provisions of clause 11.4 shall apply.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

    \n\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t<\/i>\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t<\/i>\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t15.     \n\t\t\t\t\t\t\t

    15.1. The failure of Iperium or the customer at any time to enforce any of the provisions of this Agreement or any rights in respect hereto or to exercise any election herein provided will not be a waiver of those provisions, rights or elections or affect the validity of this Agreement.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

    \n\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t<\/i>\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t<\/i>\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t16.     \n\t\t\t\t\t\t\t

    16.1. A notice or other communication required or permitted to be given by one party to another must be in writing and:<\/p>

    16.1.1. delivered personally;<\/p>

    16.1.2. sent by pre-paid mail to the address of the addressee specified in this Agreement;<\/p>

    or<\/p>

    16.1.3. sent by facsimile transmission to the facsimile number of the addressee with acknowledgment of receipt from the facsimile machine of the addressee.<\/p><\/div>

    16.2. A notice or other communication is taken to have been given:<\/p>

    16.2.1. If delivered personally, immediately upon delivery;<\/p>

    16.2.2. if mailed, on the second Business Day after posting; or<\/p>

    16.2.3. if sent by facsimile before 4 pm on a Business Day at the place of receipt, on the day it is sent and otherwise on the next Business Day at the place of receipt.<\/p><\/div>

    16.3. A party may change its address for service by giving notice of that change in writing to the other parties. 16.4. The parties\u2019 respective contact details for notification under this Agreement are as follows:<\/p>

    17.1. Iperium\u2019s or the customers failure or delay to exercise a power or right does not operate as a waiver of that power or right.<\/p>

    17.2. The exercise of a power or right does not preclude:<\/p>

    17.2.1. its future exercise; or<\/p>

    17.2.2. the exercise of any other power or right.<\/p><\/div>

    17.3. The variation or waiver of a provision of this Agreement or Iperium\u2019s consent to a departure from a provision by another party will be ineffective unless in writing executed by the parties.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

    \n\t\t\t\t\t\t\t

    18.1. Iperium may, without the consent of the Customer, engage individuals on a sub-contract or consultancy basis, whether or not operating under a corporate structure, to assist in the provision of the Products or the Services.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

    \n\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t<\/i>\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t\t\t\t<\/i>\t\t\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t19. Disputes\t\t\t\t\t\t\t<\/span>\n\n\t\t\t\t\t\t<\/div>\n\t\t\t\t\t\t
    \n\t\t\t\t\t\t\t

    19.1. Any dispute arising in connection with this Agreement which cannot be settled by negotiation between the Parties or their representatives will be submitted to arbitration in accordance with the Conduct of Commercial Arbitrations for the time being of the Institute of Arbitrators and Mediators Australia (or such other equivalent rules in force by that organisation). During such arbitration, both Parties may be legally represented.<\/p>

    19.2. Prior to referring a matter to arbitration pursuant to subclause 19.1, the<\/p>

    19.2.1. Parties will:<\/p>

    19.2.2. in good faith, attempt to resolve the dispute within five (5) Business Days (or such other period as is agreed between the Parties); and<\/p>

    19.2.3. in good faith explore the prospect of mediation.<\/p><\/div>

    19.3. Nothing in this clause 19 shall prevent any Party from seeking injunctive relief from a Court at any time.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

    20.1. Each Party will sign all documents and do all things necessary or desirable to give effect to this Agreement and will procure its officers, employees and agents to declare, make or sign all documents and do all things necessary or desirable to give full effect to this Agreement.<\/p>

    20.2. Each Party will pay its own costs in relation to the preparation, negotiation and execution of this Agreement.<\/p>

    20.3. In addition to and notwithstanding any other obligation under this Agreement, each Party will:<\/p>

    20.3.1. to the extent practical, cooperate with the other Party in the pursuit of the other party\u2019s business objectives relevant to this Agreement; and<\/p>

    20.3.2. as soon as practicable consult with the other Party on any matter arising which may materially affect the performance by the first mentioned Party of its obligations under this Agreement.<\/p><\/div>

    20.4. Notwithstanding any other provision of this Agreement, the Customer agrees to follow any procedures and directions and technical specifications notified by Iperium to the Customer regarding the use of the Products or Services from time to time, which the Customer agrees to notify to any other person or persons or entity immediately upon direction by Iperium. The Customer also agrees to provide full, safe and unfettered access to all systems and premises as is required by Iperium in order to facilitate the provision of the Products or Services.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

    21.1. This Agreement is governed by the laws of New South Wales.<\/p>

    21.2. Each party irrevocably submits to the non-exclusive jurisdiction of the courts of New South Wales.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

    22.1. Each party will from time to time do all things (including executing all documents) necessary or desirable to give full effect to this Agreement. Each Party acknowledges that it has obtained legal advice, or had the opportunity to obtain legal advice, in connection with this Agreement.     23.1. This Agreement may be executed in counterparts.     24.1. In relation to the subject matter of this Agreement:<\/p>

    25.1. In entering into this Agreement, each party:<\/p>

    26.1. Subject to any provision to the contrary, this Agreement will enure to the benefit of and be binding upon the Parties and their successors, trustees, permitted assigns or receivers but will not enure to the benefit of any other persons.<\/p>

    26.2. The covenants, conditions and provisions of this Agreement which are capable of having effect after the expiration of this Agreement will remain in full force and effect following the expiration of this Agreement.<\/p>

    29.1. W here this Agreement gives either party a right or power to consent or approve in relation to a matter under this Agreement, That party may withhold any consent or approval or give consent or approval conditionally or unconditionally and in its absolute discretion. The party seeking consent or approval must comply with any conditions the other party imposes on its consent or approval.<\/p>

    29.2. The Customer warrants it has and will maintain the power and authority and has obtained and will comply with all necessary licenses and consents, necessary for it to enter into this Agreement and obtain and utilise the Products and Services.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t\t\t

Interpretation\t\t\t\t\t\t\t<\/span>\n\n\t\t\t\t\t\t<\/div>\n\t\t\t\t\t\t
    \n\t\t\t\t\t\t\t

    31.1. In this Agreement, unless otherwise indicated by the context:<\/p>

    31.1.1. Business Day<\/strong> means a day that is not a Saturday, Sunday, public holiday or bank holiday in Sydney, New South Wales;<\/p>

    31.1.2. Agreement<\/strong> means this Master Services Agreement and its Schedules (including any Service Schedules and Service Orders agreed upon from time to time by the Parties);<\/p>

    31.1.3. Charges<\/strong> means the fees payable by the Customer to Iperium, based on the prices and rates set out in the Service Schedules and the Service Orders;<\/p>

    31.1.4. Confidential Information<\/strong> means the confidential information of a Party which relates to the subject matter of this Agreement;<\/p>

    31.1.5. End Users<\/strong> means the customers of the Customer;<\/p>

    31.1.6. Force Majeure Event<\/strong> means any occurrence or omission as a direct or indirect result of which Iperium is prevented from or delayed in performing any of its obligations under this Agreement and that is beyond the reasonable control of Iperium, including forces of nature, any act of God, fire, storm, explosion, strike, lockout, industrial action or action or inaction by a government agency, or any unscheduled emergency maintenance of the Products or Services or any fault in and telecommunications network or any acts or omissions of any supplier to Iperium or any other events beyond the reasonable control of Iperium;<\/p>

    31.1.7. GST<\/strong> means: (a) the same as in the GST Law; (b) any other goods and services tax, or any tax applying to this transaction in a similar way; and (c) any additional tax, penalty, tax, fine, interest or other charge under a law of such a tax;<\/p>

    31.1.8. GST Law<\/strong> means the same as \u201cGST law\u201d in A New Tax System (Goods and Services Tax) Act 1999 (Cth);<\/p>

    31.1.9. Insolvency Event<\/strong> means in relation to a party:<\/p><\/div>

    31.1.9.1. a receiver, receiver and manager, trustee, administrator, other controller (as defined in the Corporations Act 2001 (Cth) or similar official is appointed over any of the assets or undertakings of the other party<\/p>

    31.1.9.2. the party suspends payment of its debts generally;<\/p>

    31.1.9.3. the party is or becomes unable to pay its debts when they are due or is or becomes unable to pay its debts or is presumed to be insolvent within the meaning of the Corporations Act 2001 (Cth);<\/p>

    31.1.9.4. the party enters into or resolves to enter into any arrangement, composition or compromise with, or assignment for the benefit of, its creditors or any class of them;<\/p>

    31.1.9.5. the party ceases to carry on business or threatens to cease to carry on business;<\/p>

    31.1.9.6. a resolution is passed or any steps are taken to appoint, or to pass a resolution to appoint, an administrator; or<\/p>

    31.1.9.7. an application or order is made for the winding up or dissolution of the other party, or a resolution is passed, or any steps are taken to pass a resolution, for the winding up or dissolution of the other party, otherwise than for the purpose of an amalgamation or reconstruction that has the prior written consent of the first party;<\/p><\/div>

    31.1.10. Party or party<\/strong> means either the Customer or Iperium as the context dictates and includes a permitted substitute or permitted assign of each entity (and in the case of Iperium, any Related bodies<\/p>

    31.1.11. corporate as defined in Section 50 of the Corporations Act 2001 (Cth);<\/p>

    31.1.12. Payment Terms are the agreed terms and conditions for payment of the Charges as specified in clause 4 and in agreed Service Orders and Service Schedules;<\/p>

    31.1.13.
